Apostilles (Colorado)
To obtain apostilles, the original document must be properly notarized or certified by a Colorado notary public which includes the state and county where the notarization took place and the date of the notarization. The notary signature must be in English. The notary commission date must be noted.
The necessary information must include:
The name of the country for which the authentication is needed
Your name and daytime telephone number
The address to which the document should be mailed after processing, OR your written request to this office to hold the document for you to pick up in person (NOTE: All documents are processed within one business day of receipt, and will be mailed back or ready for pick-up after 10:30 A.M. the following business day)
Expedited servicea are available for hand-delivered documents. The fee for expedited service is $15 per document, and the time required is 5-10 minutes per document. Expedited service is offered from 7:30 AM to 4:30 PM, Monday through Friday (holidays excepted).

About Authentication and Apostilles
Authentication or a certificate of magistracy is an official certificate issued by the state official's office where the notary public is commissioned, confirming the existence of the notary public (or public officer) who has notarized the document. These certifications may be required when a document is being sent to another state or foreign country.
If the countries where the document is being sent is a member of the Hague Convention, you can receive an "apostille" from the state where the notary is commissioned.
In order to obtain an apostille or authentication, the document must be an original signed by the executing party, bearing an accurate notary public's signature (exact name of the notary as it currently stands of the state's records), date commission expires and notarial seal.
It the country is not a member of the Hague Convention, the authentication process is a two step process. First the document will require certification from the CO SOS as to the notary's signature. Second, it will require authentication of the country's embassy or consulate.

Cover Sheets (Colorado)
Colorado Secretary of State refers to their pre-printed forms as "Form/cover sheets". Essentially, there is no "cover sheet" per se. Rather, a pre-printed form is mandatory for all filings since July 1, 2004. A document delivered for filing that is not on, or that is not accompanied by, the required form/cover sheet will be rejected.

Domestic Corporation Summary (Colorado)
Pursuant to Colorado Corporations and Associations Act (7-102-101 et seq.) a corporation incorporating in Colorado file Articles of Incorporation ONLINE with the Colorado Secretary of State (CO SOS). Corporate Name: The corporate name must contain “corporation”, “incorporated”, “company”, “limited”, “corp.”, inc.”, “co.” or “ltd”. If the corporation is a professional corporation, the term or abbreviation of "professional corporation", "PC" or "P.C." is required. Maximum Stock for Minimum Filing Fee: None. No. of Directors: There may be 1 director. Paid in Capital: There is no minimum amount of paid in capital required to commence business. Purpose: No specific business purpose is required on the articles. It A general purpose will suffice: “The purposes for which the corporation is organized shall be to transact any and all lawful business for which corporations may be incorporated pursuant to the provisions of the Colorado Business Corporation Act.” Preemptive Rights: Denied unless specifically granted. Cumulative Voting: Granted unless specifically denied. Incorporator: Incorporator may be anyone over 18 years of age and does not have to be a resident of Colorado. Filing: Paper Articles: Paper filing may be submitted to the CO SOS for $125.00. If submitting paper, submit one original and one copy of the articles together with statement of agent. No signature is required.

Effective Financing Statement (EFS) Colorado
An Effective Financing Statement (EFS) is different from a UCC. It is a legal document filed with the CO SOS that contains information regarding the secured party, debtor, and farm product collateral specific to a lending transaction. It is not a lien, but a notice that lists as collateral farm products, including field crops, livestock, etc. See CRS Article 9.5 of Title 4.

Colo. Rev. Stat. 7-90-601 governs entity names. Pursuant to 7-90-601: A corporate name must contain the word “corporation”, “incorporated”, “company”, “limited”, “corp.”, inc.”, “co.” or “ltd”. A nonprofit corporation may, but need not, contain the term or abbreviation "corporation", "incorporated", "company", "limited", "corp.", "inc.", "co.", or "ltd.". An LLC shall contain the term or abbreviation "limited liability company", "ltd. liability company", "limited liability co.", "ltd. liability co.", "limited", "l.l.c.", "llc", or "ltd.". Foreign Entity Summary (Colorado)
In Colorado, foreign entities are governed by the Colorado Corporations and Associations Act (7-90-801), which provides that a foreign entity may not transact business in Colorado until it files a Statement of Foreign Entity Authority with the Colorado Secretary of State (CO SOS) which must be filed Online. UCC Filing (Colorado)
NOTICE FROM CO SOS: Notice of Mandatory UCC Online Filing and Searching, Including System Downtime The Colorado Secretary of State will launch a new UCC filing and searching system on Tuesday, May 29, 2012, at 7:00 AM MST. This new system will enhance the filing and searching of commercial lien records and save businesses time and money. When the new system launches, all UCC forms must be filed online. This will allow customers to use fast, electronic self-service. The fee for filing UCC forms online is $8.00. If you have an existing UCC user account, you will need to create a new account when the new system launches. In addition to filing, all UCC searches must be conducted online. UCC search reports, copies of documents, and certified records will all be available for free from the website.
